Playbox User Agreement

This User Agreement ("Agreement," "Terms of Service") is a legally binding contract between you (the "User") and Playbox Sport Inc., a Delaware C Corporation, governing your access to and use of the Playbox platform, including the website (https://play-box.xyz), mobile applications (App Store, Google Play), and the Telegram-based WebApp (@playbot_playbot, collectively, the "Platform").

By creating an Account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Definitions

• Account: Your registered profile on the Platform.
• Event: A sports game, match, or activity organized through Playbox.
• Event Organizer ("Organizer"): A User who creates and manages an Event.
• Participant: A User who joins an Event.
• Playbox Coins: Internal credits used within the Platform.
• Virtual Wallet ("Wallet"): The digital balance associated with your Account.
• Withdrawal: Transfer of funds from your Wallet to real currency via third-party providers.
• Partner: Licensed third-party payment providers, including Stripe and Wise.
• Service Fee: Commission charged by Playbox on certain transactions.

2. Eligibility

The Platform is not intended for children under 13 years of age in the United States (pursuant to COPPA) or under 16 years of age in the European Union, unless applicable local law sets a lower digital consent age (not below 13). By registering, you represent that you meet the minimum age requirement in your country of residence.

Playbox reserves the right to suspend or terminate Accounts suspected of violating this provision. Parents or legal guardians may request account deletion by contacting [email protected].

3. Services Provided

Playbox provides a technology platform that enables Users to create, organize, and participate in sports Events, facilitate payments between Participants and Organizers, and access features such as subscriptions and premium services.

Playbox acts solely as a technology provider. Playbox does not host, organize, supervise, or directly manage any physical Events. Playbox does not employ or control Organizers. Playbox does not verify the safety, suitability, or legality of any Event, venue, or activity.

4. Assumption of Risk

YOU ACKNOWLEDGE THAT PARTICIPATION IN SPORTS EVENTS ORGANIZED THROUGH THE PLATFORM INVOLVES INHERENT RISKS OF PHYSICAL INJURY, ILLNESS, DISABILITY, OR DEATH. These risks include but are not limited to: collisions with other participants, falls, sprains, fractures, concussions, heat-related illness, cardiac events, muscle injuries, and other bodily harm inherent to athletic activities.

By using the Platform and participating in any Event, you voluntarily and knowingly assume all such risks. You represent that you are physically fit to participate and have consulted a medical professional if you have any concerns about your ability to engage in physical activity.

5. Responsibility Allocation

5.1 Platform (Playbox)

Playbox provides the technology infrastructure for Event organization. Playbox:

• Does not control, supervise, or manage Events
• Does not verify Event safety, venue conditions, or Organizer qualifications
• Does not provide medical services, insurance, or emergency response at Events
• Is not responsible for the actions, omissions, or conduct of any User

5.2 Event Organizers

Organizers are solely responsible for:

• The safety and conduct of their Events
• Venue selection and ensuring venue suitability
• Compliance with all applicable local laws, permits, and regulations
• Providing adequate safety measures, including access to first aid where appropriate
• Communicating Event rules, risks, and requirements to Participants
• Obtaining appropriate liability insurance for their Events (strongly recommended)

5.3 Participants

Participants are solely responsible for:

• Assessing their own physical fitness before joining an Event
• Disclosing relevant medical conditions to the Organizer where appropriate
• Using appropriate protective equipment
• Complying with Event rules and the Organizer's instructions
• Their own conduct during Events

6. User Responsibilities

You agree to:

• Provide accurate information during registration and maintain current profile information
• Maintain the confidentiality of your login credentials
• Accept sole responsibility for all activity under your Account

You agree not to use the Platform for unlawful, fraudulent, or abusive purposes, including money laundering, unauthorized transactions, or attempts to circumvent Service Fees.

7. Virtual Wallet

Each User receives a Virtual Wallet ("Wallet") upon registration. The Wallet tracks funds earned and received through the Platform, including income from organizing Events, field booking payments, and host request payments.

The Wallet:

• Is not a bank account and does not earn interest
• Cannot be used outside the Platform except through approved Withdrawals
• Represents contractual rights against Playbox, not deposits or insured funds
• Has two balances: a total balance (available for spending on the Platform) and a payout balance (available for Withdrawal to your bank account)

7.1 Wallet Top-Up

Users may add funds to their Wallet via Stripe, saved card, Apple Pay, Google Pay, or Telegram Stars. The minimum top-up amount is $10.00 USD (or equivalent in local currency).

7.2 Wallet Payment Discount

When a Participant pays for an Event using their Wallet balance, a 5% discount is applied to the Event price.

7.3 Top-Up Bonuses

Users who top up their Wallet may receive bonus credits:

Bonus credits are added to the Wallet balance but are not eligible for Withdrawal.

8. Service Fees

Playbox charges a Service Fee to Event Organizers for each completed Event. The fee is 7% of the Event price per Participant, with a minimum of $0.30 USD per Participant (or equivalent in local currency), whichever is greater.

This fee is charged per player per game, regardless of how the Participant paid (online, Wallet, or cash). The fee is deducted from the Organizer's payout balance after the Event is completed.

8.1 League Events

For Events organized as part of a League, Playbox charges an additional flat fee of $2.00 USD per completed game (or equivalent in local currency).

8.2 How Fees Are Applied

Service Fees are calculated and applied automatically after an Event finishes. Fee amounts are disclosed on the Platform and may be updated periodically. By using the Platform, you agree to the fees in effect at the time of your transaction.

9. Payment Flow

When a Participant pays for an Event online (via Stripe, Apple Pay, Google Pay, Telegram Stars, or Wallet), the payment is processed through our third-party payment partners. After the Event finishes, Playbox distributes the collected online payments to the Organizer's Wallet as organizing income, minus the applicable Service Fee (Section 8). The Organizer may then request a Withdrawal of their available payout balance.

Playbox is not responsible for delays, errors, or failures caused by third-party payment Partners.

10. Withdrawals

Organizers may request Withdrawals of their payout balance through Stripe Connect or bank transfers (via Wise).

Withdrawals are subject to:

• Minimum amount: $5.00 USD per Withdrawal
• Maximum amount: $1,000.00 USD per Withdrawal
• Eligibility: Withdrawals must be enabled for your Account by Playbox (see Section 12, AML/KYC Compliance)
• Processing times as determined by the third-party payment partner

You must provide accurate payment details. Playbox is not liable for losses arising from incorrect banking or payment information. Playbox is not responsible for delays, reversals, or failures caused by Stripe, Wise, or any other third-party provider.

11. Refund Policy

Refunds are issued in Playbox Coins (Wallet credits) under the following circumstances:

• A Participant cancels participation before an Event begins
• An Organizer cancels an Event
• A Participant is removed from an Event by the Organizer

Refunds for online payments are credited back to the Participant's Wallet balance. Cash payments cannot be refunded through the Platform and must be resolved directly between the Participant and the Organizer.

Refunds are generally non-cash unless required by applicable law. Playbox reserves the right to deny refunds where abuse or fraud is suspected.

12. AML/KYC Compliance

To comply with anti-money laundering laws, Playbox may require identity verification documents before enabling Withdrawals. Playbox reserves the right to freeze, deny, or report transactions that appear suspicious or violate applicable law.

13. Taxes

Users are solely responsible for reporting and paying applicable taxes on income earned via the Platform. Playbox does not withhold or remit taxes on your behalf unless required by law.

14. Medical Disclaimer

Any fitness-related information, player ratings, statistics, or performance data displayed on the Platform is for informational and entertainment purposes only. Nothing on the Platform constitutes medical or professional advice. Consult a qualified physician before participating in any physical activity.

15. Release of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE PLAYBOX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM OR RELATED TO:

• (a) Your participation in any Event organized through the Platform
• (b) Any injury, illness, disability, or death resulting from such participation
• (c) The conduct of any Organizer, Participant, or third party at any Event
• (d) Any dispute between Users
• (e) Venue conditions, equipment, or environmental factors at any Event

This release applies regardless of whether the claim is based on negligence, strict liability, or any other legal theory, except where prohibited by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Playbox and its affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your participation in or organization of Events
• Your violation of these Terms or any applicable law
• Any content you submit through the Platform
• Any injury or damage caused by your actions during an Event

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Playbox does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLAYBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, regardless of whether Playbox was advised of the possibility of such damages.

Playbox's total aggregate liability for all claims arising from or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total Service Fees paid by you in the 12 months preceding the claim, or (b) $100 USD.

This limitation applies to:

• Delays or errors by Stripe, Wise, or other third-party providers
• Disputes between Users
• Injuries, damages, or losses arising from Events
• Data loss or outages beyond Playbox's control

19. Dispute Resolution

19.1 Informal Resolution

Before filing any formal claim, you agree to contact Playbox at [email protected] and attempt to resolve the dispute informally for at least 30 days.

19.2 Arbitration (United States Users)

For Users located in the United States: any dispute not resolved informally shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place in San Francisco, California, or remotely at your election.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of creating your Account. If you opt out, disputes will be resolved in the courts of California.

19.3 European Union Users

For Users located in the EU/EEA: this arbitration clause does not apply. Disputes shall be subject to the jurisdiction of your local courts, in accordance with applicable EU consumer protection law.

19.4 All Other Users

For Users located outside the United States and EU/EEA: disputes shall be governed by the laws of the State of California and subject to the exclusive jurisdiction of courts located in San Francisco, California.

20. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond reasonable control, including natural disasters, pandemics, government actions, terrorism, civil unrest, strikes, infrastructure failures, cyberattacks, or utility provider failures.

21. Intellectual Property

All intellectual property, including software, designs, trademarks, logos, and content, remains the exclusive property of Playbox. You may not copy, modify, distribute, or create derivative works from Playbox intellectual property without prior written consent.

22. Privacy

Use of personal data is governed by the Playbox Privacy Policy. By using the Platform, you consent to the collection and processing of your data as described therein.

23. Termination

Users may terminate their Accounts at any time. Playbox may suspend or terminate Accounts that violate this Agreement or applicable law, without prior notice where necessary. Termination does not relieve you of the obligation to pay fees incurred prior to termination.

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Assumption of Risk, Release of Liability, Indemnification, Limitation of Liability, and Dispute Resolution) shall survive.

24. Amendments

We may update these Terms from time to time. Material changes will be communicated via email or through notices on the Platform at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and delete your Account.

25. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

26. Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Playbox regarding the use of the Platform and supersedes all prior agreements.

27. Third-Party Video Services

Playbox publishes broadcasts and recordings of Events to its YouTube channel and embeds the YouTube player inside the Platform. By using the Platform you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). How we handle data related to these services is described in Section 16 of the Playbox Privacy Policy.
